BACKGROUND INFORMATION
The Electricity Supply Corporation of Malawi (ESCOM) Limited is a limited liability company incorporated under the Companies Act, Cap. 46:03 of the Laws of Malawi. The Electricity (amendment) Act of 2016 outlines the functions of ESCOM which are carried out through licenses issued by the Malawi Energy Regulatory Authority.
Transmission license mandates ESCOM to among other activities, build, operate and maintain the transmission network in Malawi and carry out related technical activities. Distribution license mandates ESCOM to among other activities, build, operate and maintain the
distribution network in Malawi; carry out related technical activities and commercial services. System and Market Operator’s license mandates ESCOM to among other activities, provide access to all generation plants.
The above are implemented through a five-year Integrated Strategic Development Plan; annual operational plan and annual budget. Arising from the above functions, ESCOM is also participating in telecommunications industry through its optical fiber infrastructure.
Supporting implementation of these functions, are support services structured based on purpose. These include legal, finance, human resources, procurement, risk and assurance, planning, monitoring and evaluation, information communication technology and public
relations. ESCOM is now in the process of recruiting suitable persons to fill vacant post as follows:
JOB TITLE: DIRECTOR OF LEGAL AFFAIRS AND COMPANY SECRETARY (ES 3)
Level: Executive Management
Division: Legal Affairs
Reporting to: Chief Executive Officer
Purpose of the Job
To effectively lead, manage and control the Legal Affairs Division of the Corporation.
Duties and Responsibilities
The Director of Legal Affairs and Company Secretary shall be responsible, but not limited, for the following:
Guiding and overseeing the overall Legal Services Division function in line with the Corporation’s set goals, policies and strategies;
Performing the role of Legal Counsel to the Corporation and representing the Corporation in court proceedings and actively participating in negotiations for major projects;
Ensuring the Corporation’s compliance with all the requirements of the Companies Act, Cap. 46:03 of the Laws of Malawi as well as other statutes and any other legal
requirements relevant to the Corporation’s operations and business;
Liaising with the Corporation’s retained lawyers and ensuring professional handling of all litigation and other matters in which the retained lawyers have been instructed;
Ensuring timely preparation and filing of Annual Reports and Accounts of ESCOM;
Representing, directing and guiding the Legal Services Division in the Corporation’s strategic planning process;
Handling activities related to the appointment of the board of directors; their induction to the company’s mandate, mission and vision; including the overall conduct of the board of
directors individually and as an institution;
Ensuring that ESCOM complies with all policies, laws, statutes and regulations, as it undertakes all its activities;
Organizing board meetings and related agenda and documentation in liaison with the chairman of the board of directors and the chief executive officer;
Preparing minutes of all meetings in good time; keeping and maintaining minute books, registers and seals;
Organizing the annual general meetings of the company and all related and incidental activities including but not limited to issuing of notices of the meetings, management of proxy forms where appropriate, and providing directors with all required information; and
Carrying out any other duties as assigned by the Chief Executive Officer.
Qualification and Experience
The ideal candidate should have a minimum qualification of a Bachelor’s Degree in Law and a relevant Master’s Degree in Law from a recognized University. Must have a valid Legal
Practitioner’s license and be a registered member of the Malawi Law Society. Applicants must have ten (10) years’ work experience of which at least seven (7) years should be at Executive or Senior Management level.
Applicants with experience in the power supply industry will have an added advantage.

DETAILS OF THE POST ARE AS FOLLOWS
Employment will be on a three (3) year contract, period renewable depending on performance.
